Tata Consultancy Services (TCS) will acquire 100% of MHP Management und IT Beratung GmbH, the management and IT consulting subsidiary of Porsche AG, for an enterprise value of €320 million. The all-cash transaction is part of a broader five-year strategic partnership between TCS and Porsche valued at €1.25 billion.

The acquisition has been approved by the board of TCS Netherlands B.V., a wholly owned subsidiary of TCS. The transaction is subject to regulatory approvals and other conditions and is expected to close within three to four months.

TCS Expands Automotive and AI Capabilities

Headquartered in Ludwigsburg, Germany, MHP specialises in automotive and industrial consulting, digital transformation, artificial intelligence, SAP transformation, manufacturing digitalisation, connected mobility and software-defined mobility. The company was established in 1996 and employs around 4,500 people.

MHP reported turnover of €742 million in calendar year 2025, compared with €830 million in 2024 and €828 million in 2023. Its operations span Germany, Romania, the UK, the US, India and Mexico, giving TCS a stronger presence across European automotive and industrial markets.

TCS said MHP’s consulting and implementation capabilities will complement its existing global scale, engineering expertise and technology capabilities. The combination is expected to strengthen its automotive technology offering and expand its ability to work on AI and software-driven mobility programmes.

Porsche Signs €1.25 Billion Five-Year Technology Partnership

Alongside the acquisition, Porsche has entered into a five-year strategic technology agreement worth €1.25 billion with TCS and MHP. The partnership will focus on applying AI across Porsche’s engineering, manufacturing, operations, customer experience and enterprise transformation activities.

As part of the agreement, TCS will establish a dedicated AI Mobility Centre of Excellence for Porsche. The centre will work on converting AI use cases into scalable solutions across manufacturing and operations, engineering and customer experience.

The acquisition also allows Porsche to focus more closely on its core automotive business while retaining a long-term relationship with MHP. MHP will continue as a distinct brand and independent consulting firm within TCS, while Porsche and MHP are expected to maintain their existing collaboration.

The transaction requires approvals under EU merger control and the EU Foreign Subsidies Regulation, as well as foreign direct investment approval in Romania. TCS will also seek a certificate of non-objection from Germany’s Federal Ministry of Economy and Energy.
