Meesho has approved an investment of up to Rs 50 crore in Retail Pulse Labs Private (RPLPL), a subsidiary of Kirana Club, as part of its broader plan to strengthen its presence in the kirana and small retailer ecosystem. The approval was granted by the company’s board during a meeting held on October 6.
The company said the investment will be made in one or more tranches over a period of one year after the completion of the first tranche of its previously announced acquisition of Kirana Club. Once the initial tranche is completed, Retail Pulse Labs will become a step-down subsidiary of Meesho.
The latest board approval builds on Meesho’s June 2026 announcement regarding the acquisition of Kirana Club and its subsidiary Retail Pulse Labs. Alongside the new investment plan, Meesho has also approved an amendment agreement to the original share purchase agreement signed in June.
As per regulatory filing, the amendment introduces procedural and operational changes to the transaction structure, while leaving the total acquisition value unchanged at Rs 202.08 crore. Meesho noted that no tranche of the acquisition has been completed so far, and separate disclosures will be made as and when future tranches are closed.
Retail Pulse Labs operates a B2B commerce and community platform connecting kirana stores and small retailers with FMCG brands and distributors, particularly across Tier II, Tier III, Tier IV and rural markets. The company generates revenue through commissions and advertising services.
The business has reported steady growth over the last three financial years. Retail Pulse Labs posted audited turnover of Rs 16.04 crore in FY26, up from Rs 4.92 crore in FY25 and Rs 2.7 crore in FY24. However, it reported a net loss of Rs 1.6 crore in FY26.
Meesho said the investment is aimed at supporting Retail Pulse Labs’ growth, business expansion and capital requirements, while also helping integrate capabilities across the ecosystem. The transaction is proposed to be completed through equity or equity-linked instruments, with the final stake depending on the valuation at the time of each tranche.
