Paytm CEO Vijay Shekhar Sharma, CFO Madhur Deora and other senior executives have received show-cause notices from the Securities and Exchange Board of India (SEBI) over the timing of a 2023 disclosure related to the company’s small personal loan business.

Paytm said the notices, dated August 11, were received by its key managerial personnel on Tuesday. The executives have been given 14 days to respond to the regulator. The company also said it does not expect any financial impact from the notices.

What SEBI Is Looking Into

The regulatory action relates to Paytm’s December 6, 2023 announcement that it would reduce the issuance of personal loans below Rs 50,000. The disclosure followed the Reserve Bank of India’s decision to tighten rules around unsecured consumer lending.

SEBI is examining the timing of that disclosure and whether the information should have been classified as unpublished price-sensitive information. The issue puts the focus on when Paytm’s management became aware of the change and when it was communicated to stock market investors.

Paytm’s 2023 Loan Disclosure and Market Reaction

The December 2023 announcement had a significant impact on Paytm’s stock. Its shares fell around 20% on the trading day after the company disclosed plans to reduce small-ticket personal loans.

The development came around three weeks after the RBI increased risk weights on unsecured consumer loans issued by banks and NBFCs. Paytm’s shares had initially declined after the RBI’s move but recovered in the following days.

However, Paytm’s stock had already declined by around 12% in the eight trading days leading up to the December 6 announcement. SEBI’s notice therefore centres on the timing and handling of information surrounding the company’s decision to curb small personal loans.

Paytm has said the show-cause notice will not have any financial impact on the company. The matter is now with the concerned executives, who are required to submit their responses to SEBI within the stipulated 14-day period.
